CLARKE LANE ENGINEERING LTD – TERMS & CONDITIONS OF SALE

These Terms & Conditions apply to all orders placed with Clarke Lane Engineering Ltd. By placing an order you agree to be bound by these terms.

1. Definitions
"Company" means Clarke Lane Engineering Ltd. "Customer" means the person or business placing the order. "Goods" means any materials, products, or services supplied.

2. Quotations
2.1 All quotations are valid for 5 days unless otherwise stated.
2.2 Quotations are based on the information provided at the time and may be revised if specifications change.
2.3 The Company reserves the right to withdraw or amend any quotation prior to order acceptance.

3. Orders & Acceptance
3.1 An order is only accepted once confirmed in writing by the Company.
3.2 Acceptance of a quotation constitutes acceptance of these Terms & Conditions.
3.3 Any variations must be agreed in writing and may be subject to additional charges.

4. Pricing & Payment
4.1 All prices are exclusive of VAT unless stated otherwise.
4.2 Payment terms: 30 days from invoice date unless otherwise agreed.
4.3 The Company reserves the right to request deposit payments for large or bespoke orders.
4.4 Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4.5 The Company reserves the right to suspend work or deliveries where payment terms are not met.

5. Delivery
5.1 Delivery dates are estimates only and not guaranteed.
5.2 The Company shall not be liable for delays outside its control.
5.3 Risk in the Goods passes to the Customer upon delivery or collection.
5.4 Delivery charges may apply unless otherwise stated.

6. Title (Ownership)
6.1 Goods remain the property of the Company until paid for in full.
6.2 The Company reserves the right to recover goods where payment has not been made.

7. Specifications & Customer Responsibility
7.1 The Customer is responsible for ensuring all drawings, measurements, and specifications are accurate.
7.2 The Company accepts no liability for errors in customer-provided information once production has commenced.
7.3 Any design or specification changes may affect cost and lead time.

8. Manufacturing Tolerances
8.1 All work is carried out to standard industry tolerances unless otherwise agreed in writing.
8.2 Minor variations in dimensions, finish, or material are not considered defects.

9. Returns, Defects & Claims
9.1 The Customer must inspect goods upon delivery.
9.2 Any claims for damage, shortage, or defect must be reported within 48 hours in writing.
9.3 The Company's liability is limited to repair, replacement, or refund at its discretion.
9.4 The Company shall not be liable for any consequential or indirect losses.

10. Cancellation
10.1 Orders for bespoke or made-to-order goods cannot be cancelled once production has started.
10.2 The Company reserves the right to charge for work completed and materials purchased.

11. Liability
11.1 The Company's liability is limited to the value of the goods supplied.
11.2 The Company shall not be liable for loss of profit, business interruption, or indirect losses.

12. Force Majeure
12.1 The Company shall not be liable for failure or delay due to events beyond its control (including but not limited to supply chain issues, strikes, or extreme weather).

13. General
13.1 These Terms & Conditions shall be governed by the laws of England and Wales.
13.2 Any disputes shall be subject to the jurisdiction of the English courts.
